Refund & Cancellation Policy

1. Scope
This Refund and Cancellation Policy applies to all services provided by Axiom Valley Limited (“we”, “us”, or “our”), a company registered in England and Wales (Company No. 16986624) with its registered office at Unit A, 82 James Carter Road, Mildenhall, United Kingdom, IP28 7DE.
Our services include, but are not limited to, custom software development, artificial intelligence solutions, e-commerce development, IT consulting, digital marketing, and UX/UI design. All services are provided on a business-to-business (B2B) basis.
2. Nature of Services
Due to the bespoke nature of custom software development and consulting services, each engagement involves the allocation of dedicated resources, specialist expertise, and time that cannot be recovered once deployed. Accordingly, our refund policy reflects the non-reversible nature of professional services rendered.
3. Refund Policy
3.1 Completed Work
All payments for completed milestones, delivered work, or logged hours are non-refundable. Once a milestone has been delivered and accepted (or deemed accepted in accordance with the applicable client agreement), the corresponding payment is final.
3.2 Work in Progress
If a project is cancelled while work is in progress, fees for all work completed up to the date of cancellation are non-refundable. Any advance payments for work not yet commenced may be refundable, subject to the terms of the individual client agreement and any applicable administrative or resource allocation costs.
3.3 Deposits and Upfront Payments
Where a deposit or upfront payment is required to secure resources and commence a project, such payments are generally non-refundable as they cover initial project setup, planning, resource allocation, and opportunity costs. Specific terms regarding deposits are set out in the applicable Statement of Work (SOW) or client agreement.
4. Cancellation by the Client
Clients may request cancellation of a project or engagement in accordance with the notice period and cancellation provisions specified in the individual client contract (e.g., Master Service Agreement or Statement of Work).
In the absence of specific contractual provisions:
- The client must provide written notice of cancellation to contact@axiomvalley.com.
- A minimum notice period of 14 calendar days is required.
- All work completed prior to the effective cancellation date will be invoiced and is payable in full.
- Any third-party costs or licences procured on behalf of the client are non-refundable.
5. Cancellation by Axiom Valley
We reserve the right to suspend or terminate an engagement if:
- The client fails to make payments when due.
- The client breaches any material term of the applicable agreement.
- Continuation of the project becomes impractical due to circumstances beyond our reasonable control.
In the event of termination by us for reasons other than client breach, any advance payments for work not yet commenced will be refunded within 30 days.
6. Dispute Resolution
If a client believes that delivered work does not meet the agreed specifications, they must raise a written complaint within 7 calendar days of delivery. We will review the complaint and, where appropriate, offer remedial work at no additional charge. Refunds will not be issued for work that materially conforms to the agreed specifications.
7. Subscription and Retainer Services
For ongoing retainer or subscription-based services:
- Cancellation must be made in writing with the notice period specified in the service agreement (typically 30 days).
- Fees paid for the current billing period are non-refundable.
- No refunds will be issued for unused portions of a billing period.
8. Force Majeure
Neither party shall be liable for delays or failure to perform due to events beyond their reasonable control, including but not limited to natural disasters, pandemics, government actions, or infrastructure failures. In such cases, refund terms will be negotiated in good faith between the parties.
9. Governing Law
This policy shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with this policy shall be subject to the exclusive jurisdiction of the courts of England and Wales.
